Terms of Service
1. General Provisions
1.1. These Terms govern access to and use of the ownernodes.com website, the client dashboard, the Telegram bot, the API and the proxy services of Owner Nodes (the "Service"). These Terms form an agreement between Owner Nodes ("we", "us", "our") and you as an individual or legal entity (the "Client", "you").
1.2. These Terms apply to everyone who visits the website, including without registration. By visiting the website, registering or using the Service, you confirm that you have read, understood and accept these Terms, the Acceptable Use Policy, the Privacy Policy, the Cookie Policy and the KYC Policy. If you do not agree, do not use the Service.
1.3. If you act on behalf of an organisation, you confirm that you are authorised to accept these Terms on its behalf.
1.4. We may engage contractors to provide the Service. Owner Nodes remains your service provider.
1.5. The agreement consists of these Terms, the documents listed in clause 1.2, the Affiliate Program terms, and the prices, limits and rules published on the website, in the client dashboard and in the FAQ section. In case of a discrepancy in figures, the data in the client dashboard prevails. In case of a discrepancy in rules, these Terms prevail.
1.6. We may at any time and unilaterally change these Terms, prices, discounts, bonuses, promo codes, Affiliate Program terms, features, the list of countries and limits. Changes take effect upon publication unless stated otherwise. Continued use of the Service means acceptance of the changes.
1.7. By creating an account, you agree to receive marketing emails from us. You can unsubscribe at any time using the link in the email.
1.8. The agreement does not create any partnership, joint venture or employment relationship between you and Owner Nodes.
1.9. Section headings are for convenience only and do not affect interpretation.
2. Definitions
2.1. "Service": the Owner Nodes website, client dashboard, Telegram bot, API and proxy endpoints.
2.2. "Account": the Client's account in the client dashboard.
2.3. "Balance": the funds in the Account used to pay for traffic.
2.4. "Traffic": data transferred through proxy endpoints, measured in gigabytes.
2.5. "Endpoint": a point of connection to the proxy network.
3. Account
3.1. The Service is intended for persons over 18 years of age and duly established organisations. The Client is responsible for verifying their own legal capacity.
3.2. Registration is available by invite code only. An invite code gives access to registration and creates no other rights. We may refuse registration.
3.3. Registration requires an invite code and either an email address with a password or a Google Account. No documents are required to register or use the Service, except in the cases set out in the KYC Policy.
3.4. Bot checks may be applied at registration, login, payment and withdrawal. Email confirmation is mandatory.
3.5. We may change the data required for registration and may request the Client to resubmit data at any time.
3.6. The Client confirms that the data provided is accurate and that the email address and payment means belong to the Client.
3.7. The Account may be used by the Client's team. The Client grants access to its staff and is responsible for all of their actions in the Account. The Account may not be sold, gifted or transferred to another owner.
3.8. The Client must use a strong password, and enabling two-factor authentication is strongly recommended. The Client is responsible for keeping the password, API keys and proxy access credentials secure.
3.9. We never ask for your password, two-factor authentication codes or payment details. Any such request is phishing.
3.10. The Client must notify us immediately of any Account compromise or suspected leak of access credentials.
3.11. The Client is responsible for all activity in the Account, including the actions of persons to whom the Client has granted access and of third parties. We are not liable for the consequences of unauthorised access resulting from a weak password, shared credentials or loss of two-factor authentication means, including any traffic used.
3.12. Log in to the Account only through the official domain ownernodes.com. The official Owner Nodes Telegram bot is listed on the website. We are not liable for losses caused by phishing websites and emails, or by fake bots and accounts impersonating Owner Nodes.
3.13. Where Account features are available through the Telegram bot, actions taken through the bot are equivalent to actions taken in the client dashboard. Telegram's rules also apply when using the bot.
4. The Service
4.1. Owner Nodes provides access to a network of mobile and residential proxy endpoints through the client dashboard, the Telegram bot and the API. Available protocols, countries, targeting options and other characteristics are listed on the website and in the client dashboard.
4.2. The availability of countries, cities and operators depends on the devices online. We may change the list of services and features and discontinue support for any feature without notice.
4.3. Reconnecting to a previously used IP address is possible if that address is available.
4.4. Access to the Service may be restricted in certain countries. The Client is responsible for verifying that use of the Service is lawful in the Client's country.
4.5. The Client is responsible for the compatibility of its own equipment and software with the Service.
4.6. We do not guarantee access to any specific websites or platforms. Using proxies may violate the rules of certain services, and the Client does so at its own risk. We are not liable for the suspension of the Client's accounts on third-party platforms.
5. Connection Guarantee and Service Availability
5.1. If an endpoint does not work within 30 minutes of connection, the traffic for that endpoint is not charged.
5.2. We do not guarantee uninterrupted operation of the Service. Downtime, maintenance and outages do not entitle the Client to compensation, except as provided in clause 5.3.
5.3. If the Service as a whole was unavailable due to our fault continuously for more than 5 days, the Client may contact support for compensation within 14 days after the Service is restored. Compensation is credited to the Balance and does not exceed the amount of the Client's last top-up. Compensation is not paid in money.
5.4. Clause 5.3 does not apply to the unavailability of individual endpoints, countries or operators, scheduled maintenance, force majeure, blocking by websites, telecom operators or government authorities, or issues on the Client's side.
6. Prices and Payment
6.1. Traffic is charged per gigabyte actually used. Prices depend on the proxy type, country and volume and are shown on the website and in the client dashboard.
6.2. We may change prices, discounts and promotions at any time without notice.
6.3. Volume discounts are applied automatically as monthly spend grows, according to the tiers shown in the client dashboard. Monthly spend resets on the first day of each month (UTC).
6.4. The Balance is topped up in cryptocurrency through third-party payment providers. Funds are credited after the transaction is confirmed on the network.
6.5. The Client is responsible for the correct address, amount and network when sending funds. Funds sent to a wrong address or on a wrong network may be irreversibly lost.
6.6. Network and payment provider fees are borne by the Client and are not reimbursed.
6.7. If fraud is suspected, we may carry out an additional payment check.
6.8. The Client is responsible for paying any taxes related to the use of the Service.
6.9. Claims regarding charges are accepted within 3 months of the charge date.
6.10. Free trial access is provided at our discretion, and its conditions may change.
7. Balance and Refunds
7.1. Funds in the Balance do not expire but cannot be withdrawn, exchanged for money or earn interest.
7.2. Paid services and top-ups cannot be cancelled or refunded, except in the cases expressly set out in these Terms.
7.3. Cryptocurrency payments are not refunded to a wallet. In exceptional cases, at our discretion, a refund may be made to the Balance only.
7.4. The Balance must be used before deleting the Account. Any remaining Balance is not refunded after Account deletion.
8. Bonuses and Promo Codes
8.1. The welcome bonus, promo codes and other bonuses have no cash value and cannot be withdrawn or transferred.
8.2. The welcome bonus is granted once per Account and once per sending wallet. Bonus conditions are shown in the client dashboard.
8.3. The conditions of each promo code are stated when it is issued. Promo codes cannot be combined with each other or with the welcome bonus.
8.4. In case of abuse, including creating multiple accounts to obtain bonuses, we may cancel bonuses and promo codes.
9. Affiliate Program
9.1. Rates, statuses, thresholds, hold periods, limits and caps on rewards, and payout rules are set out in the Affiliate Program section of the client dashboard and form part of these Terms.
9.2. We may change the Affiliate Program rules, rates, statuses, thresholds and limits at any time. New terms apply to referrals' spend from the moment of the change. Rewards already accrued are not recalculated. We notify affiliates of changes by email or in the client dashboard.
9.3. Rewards accrue only on traffic actually used by referrals and paid with real funds. Top-ups, bonuses and promo codes do not generate rewards. No rewards accrue on the affiliate's own spend.
9.4. A referral is attributed to an affiliate upon the first visit through the referral link, provided registration takes place within 60 days. Attribution is irreversible and does not change upon re-registration with another code.
9.5. Payouts are made in USDT. For large withdrawals, the administration may, at its discretion, request identity verification in accordance with the KYC Policy.
9.6. Affiliates must not: obtain rewards by fraudulent means; place advertising on Owner Nodes brand search terms; use aggressive or misleading practices, fake accounts, spam or false "limited offers"; misrepresent prices or promotions; impersonate Owner Nodes; involve children; use dark patterns, hidden advertising or fake reviews; force registration; build pyramid schemes; use the Owner Nodes brand in advertising without our permission.
9.7. Where there are suspicious signs, including a sudden spike in registrations, traffic from fraudulent sources, or multiple accounts from one IP address or browser fingerprint, we may hold a payout pending review.
9.8. In case of a violation, we may refuse a payout in full or in part, cancel rewards and suspend the affiliate.
9.9. Rewards cannot be transferred. Unpaid rewards are forfeited upon Account deletion.
10. API
10.1. API access is provided through keys issued in the client dashboard. An API key is equivalent to a password, and only authorised members of the Client's team may have access to it. In case of a leak, the Client must reissue the key immediately. We may revoke a key.
10.2. The API is used within the limits set out in the documentation. Excessive load and attempts to bypass limits lead to restricted access or suspension of the Account.
10.3. We may change the API and discontinue support for individual methods and features.
10.4. Integrating the Service via the API into the Client's own products for third parties and reselling access is permitted only under a reseller agreement (clause 11.3).
11. Wholesale, Resellers and Custom Terms
11.1. Custom pricing and a separate agreement are available for high volumes. A separate agreement prevails over these Terms to the extent of any discrepancy.
11.2. Custom prices and terms are confidential. The Client may not disclose them and shall compensate any damage caused by disclosure. This obligation has no time limit.
11.3. Reselling access to the Service is permitted only after identity verification and conclusion of a separate reseller agreement. Terms for resellers, including special prices and discounts, are set by that agreement and are confidential.
12. License and Intellectual Property
12.1. We grant the Client a limited, non-exclusive and non-transferable right to use the Service, while it is paid for, for lawful purposes only.
12.2. The Service, its software, design, texts and the Owner Nodes name belong to Owner Nodes. Copying, publishing, renting out and decompiling the Service is prohibited. Reselling access and providing it to persons outside the Client's team is permitted only under a reseller agreement.
12.3. We may use the Client's feedback and suggestions free of charge and without time limit.
12.4. We may invite the Client to leave a review on external platforms.
13. Data Collected by the Client
13.1. The Client obtains no rights from us to any content collected using the Service.
13.2. The Client is responsible for the lawfulness of collecting and processing any third-party personal data collected using the Service.
14. Risks
14.1. The Client accepts the risks associated with using the Service, including software errors and vulnerabilities, changes in legislation, hacking attacks, tax consequences and changes to the rules of the websites the Client accesses. The fact that a website can be opened through a proxy does not mean it may be used in any way.
14.2. We do not guarantee the reputation or risk score of IP addresses. They may change due to the actions of other users and external events, and this is not considered a defect of the service.
15. Third Parties
15.1. We use contractors to operate the Service, including payment providers and support and mailing providers.
15.2. We are not responsible for third-party services and websites, including those accessible through links. Information on the website may contain inaccuracies.
15.3. We are not affiliated with the websites the Client accesses.
16. Client Responsibility
16.1. The Client is solely responsible for complying with the laws of the Client's country, the country from which the traffic originates and the country of the websites the Client accesses, as well as the rules of those websites.
16.2. Owner Nodes provides network infrastructure only and does not control, review or endorse the Client's actions or the content the Client accesses.
16.3. The Client must comply with the Acceptable Use Policy.
17. Sanctions and Anti-Money Laundering
17.1. The Client confirms that neither the Client nor its beneficial owners are on any sanctions list, and must stop using the Service if they become listed.
17.2. Using the Service for money laundering, terrorist financing or sanctions evasion is prohibited.
17.3. We may restrict access to the Service from certain countries. Circumventing such a restriction is a violation.
18. Rights of Owner Nodes
18.1. We may:
- close mail ports to prevent spam;
- limit speed, volume, number of connections and individual features, including UDP and the number of threads, to protect the network and third parties, without liability to the Client;
- refuse service without giving reasons;
- suspend the Account and payouts pending investigation.
18.2. We identify linked accounts by devices, IP addresses, payment methods and other signs. If one account commits a violation, all linked accounts may be suspended, with their balances, traffic and rewards cancelled.
19. Suspension and Termination of Access
19.1. We may suspend or block the Account in case of a violation of these Terms or separate agreements, if the Client is a minor, if the Service is used from a prohibited country, if a risk is created to the security, reputation or finances of Owner Nodes or third parties, in case of a violation of law or public morals, or abuse of the API or load. This list is not exhaustive.
19.2. As a rule, in case of a violation we send the Client an email notice stating the reason and a deadline for remedying it. The deadline is set at our discretion.
19.3. In case of serious violations, the Account may be blocked immediately without prior notice.
19.4. If the Account is blocked for a violation, the Balance, bonuses and rewards are not refunded.
19.5. We may block the Account if use of the Service is unlawful in the Client's country.
19.6. In case of serious violations, the block may be permanent, including blocking of the violator's email addresses, IP addresses and wallets.
19.7. We provide information about the Client to third parties and government authorities in accordance with the Privacy Policy.
20. Termination
20.1. The Client may stop using the Service and delete the Account through support at any time.
20.2. Termination does not release the parties from obligations that arose before it. Provisions on payments, disclaimers, limitation of liability, indemnification and confidentiality survive termination.
21. Disclaimer of Warranties
21.1. The Service is provided "as is" and "as available". To the maximum extent permitted by law, we give no warranties of any kind, express or implied, including warranties of fitness for a particular purpose, uninterrupted operation, availability of specific IP addresses, countries and operators, or compatibility with third-party services.
22. Limitation of Liability
22.1. We do not compensate indirect damages, including loss of profit, revenue, data or business opportunities.
22.2. To the maximum extent permitted by law, our total liability is limited to the amount of the Client's last top-up.
22.3. We bear no liability in connection with free trial access.
22.4. Nothing in these Terms limits liability that cannot be limited by law.
23. Indemnification
23.1. The Client shall indemnify Owner Nodes against all claims, damages, fines and expenses, including legal fees, arising from the Client's use of the Service or violation of these Terms, the law or third-party rights.
24. Disputes and Governing Law
24.1. Disputes are first resolved through support.
24.2. These Terms are governed by the law of the place of registration of Owner Nodes, unless mandatory consumer protection rules in the Client's country provide otherwise.
25. Miscellaneous
25.1. If any provision of these Terms is found invalid, the remaining provisions remain in force.
25.2. Our failure to act on a violation does not constitute a waiver of our right to do so.
25.3. We may assign our rights and obligations under these Terms to a third party without the Client's consent. The Client may do so only with our consent.
25.4. We are not liable for failure to perform obligations due to force majeure.
25.5. Notices sent by email or posted in the client dashboard are deemed received.
25.6. The main communication channel is email. We respond to inquiries within 30 days, and this period may be extended.
25.7. These Terms are drawn up in English. In case of any discrepancy with translations, the English version prevails.
